TERMS AND CONDITIONS OF SALE
These Terms and Conditions of Sale (“Terms”) govern every quotation, proposal, order, contract, sale, shipment, delivery, license, and service provided by Nagel Precision Inc. (“Nagel”) to any purchaser or customer (“Buyer”).
These Terms apply to machinery, machine systems, equipment, components, spare parts, tooling, abrasives, consumables, software, engineering, technical assistance, installation, commissioning, training, maintenance, repair, and all related Products and Services.
By accepting a Quotation, placing an order that Nagel accepts, authorizing work to commence, accepting delivery, or engaging in other conduct constituting acceptance under applicable law, Buyer agrees to these Terms to the extent they have been properly incorporated into the applicable Contract.
1.2 Definitions
- Buyer: The legal entity purchasing or receiving Products or Services.
- Contract: The agreement between Nagel and Buyer for a particular transaction.
- Products: All machinery, equipment, parts, tooling, consumables, software, and other deliverables supplied by Nagel.
- Services: All engineering, installation, commissioning, training, maintenance, repair, technical support, and other services supplied by Nagel.
- Quotation: Nagel’s written or electronic offer.
- Specifications: Only the technical requirements expressly identified as contractual requirements in the applicable Quotation or mutually signed agreement.
- Written Agreement: A document signed by duly authorized representatives of both parties.
